Subscription Agreement

PYLON Subscription Agreement

This Subscription Agreement (the Agreement) sets out the commercial terms that apply when you take a paid subscription to the PYLON streaming service (the Service) operated by Apostle Pty Ltd (ACN: TBD; ABN: TBD) (PYLON, we, us, our). It supplements, and is incorporated into, the Terms of Service. If this Agreement and the Terms of Service conflict, this Agreement controls for the matters it covers (billing, auto-renewal, refunds and cancellation), and the Terms of Service control for everything else.

By starting a Subscription, you agree to this Agreement.

1. Plans and pricing

1.1 Current plans

PYLON currently offers two paid plans:

  • Monthly Premium, billed monthly in advance. Grants unlimited streaming of the catalogue at the user's classification tier and geo-availability, on the number of concurrent streams associated with the plan.
  • Annual Premium, billed once per year, in advance, at a discount to twelve months of Monthly Premium. Grants the same feature set.

Current prices for each plan, by currency and territory, are shown on the pricing page at https://pylon.video/pricing and at checkout. The price you see at checkout is the price you pay for the first billing cycle and is the price that will be charged for each renewal until we notify you of a change under section 12.

1.2 What a Subscription gives you

Your active Subscription gives you the right to:

  • access the streaming Service for personal, non-commercial use, on the number of registered devices and concurrent streams stated for your plan;
  • use the offline-download feature on supported titles and devices, subject to title-level licensing;
  • participate in community features (Q&A, watch parties) where available; and
  • receive transactional emails about your Subscription.

It does not give you ownership of any Content, transferable rights, public-performance rights, or rights to use the Service commercially.

1.3 Plan changes from time to time

We may from time to time introduce, retire, rename, repackage or re-tier plans. If we change the plan you are on in a way that is materially adverse to you, we will notify you in advance under section 12 and give you a reasonable opportunity to switch to an equivalent plan or to cancel.

2. Auto-renewal, what you are agreeing to

Your Subscription will renew automatically. When you start a Subscription, you are authorising us to charge the payment method on file at the start of each billing cycle, in the same currency and at the same price as the cycle that just ended (subject to section 12), until you cancel.

This is a recurring charge. You can cancel at any time, free of charge. Cancellation takes effect at the end of the current paid period, and you keep access through the end of that period.

We will:

  • send a reminder email at least seven (7) days before the renewal of any annual Subscription, in compliance with the California Automatic Renewal Law (Cal. Bus. & Prof. Code §17602 et seq.) and equivalent laws (e.g., NY GBL §527-a; Vermont 9 V.S.A. §2455a; UK CMA reg.; Australian Consumer Law guidance);
  • send a reminder email at least three (3) days before the renewal of any monthly Subscription that has been active for more than six (6) months, where the renewal price differs from the initial price;
  • always make cancellation available in-product without you having to email or call us, the Account → Subscription page exposes a one-click cancel ("click-to-cancel") consistent with US FTC click-to-cancel guidance and equivalent state laws.

If we are unable to charge your payment method at renewal, see section 6 (failed payments).

3. Free trials and promotional periods

We do not currently offer a no-cost free trial.

[FOUNDER REVIEW · 2026-04-26] The codebase has live subscriptions.trial_start / trial_end columns and a createTrialCheckout flow with trial_period_days: 14. The mechanism exists but is not currently exposed in the public sign-up funnel. Founder must decide before publication: (a) ship the trial UI and update §3 to "we offer a 14-day free trial," OR (b) confirm the trial flow is invite-only / referral-only and reword accordingly. Do NOT publish this doc with §3 as-is until decided.

We may, from time to time, run promotional offers (for example, a discounted introductory price for the first month or a price match for a referral). Where we do, the promotional terms will be displayed clearly at signup and incorporated into this Agreement.

If a promotional period ends and converts to a regular paid Subscription, the price after conversion (the "ongoing price") will be disclosed at signup. You can cancel before conversion to avoid being charged the ongoing price.

4. Taxes

4.1 What may be added

Stated prices may exclude applicable indirect taxes, including:

  • Australian Goods and Services Tax (GST) at 10% under the A New Tax System (Goods and Services Tax) Act 1999 (Cth), applies to Australian residents;
  • EU Value Added Tax (VAT) at the rate in your member state of residence under the EU VAT directive applied to electronically supplied services;
  • UK VAT at 20%;
  • US sales tax / communications tax in jurisdictions where it applies and we are registered;
  • Canadian GST/HST/PST/QST in jurisdictions where it applies.

4.2 What we display

We display the tax-inclusive price in jurisdictions where we are required to (notably AU, EU, UK), and the tax-exclusive price plus "taxes calculated at checkout" elsewhere. The applicable tax is determined by your billing address as represented in your payment method, your country code derived from network signals at checkout, and the rules of the relevant tax authority.

4.3 Where we are not registered

In jurisdictions where we are not registered to collect indirect taxes, you are responsible for self-assessment and remittance under local law (where applicable). Most consumer subscribers will not have this obligation.

[FOUNDER REVIEW · 2026-04-26] Stripe Tax is gated on the founder enabling it in the Stripe dashboard for AU/EU/UK/CA/US (5 jurisdictions per the OPS-COMPLETION-QUEUE founder-action list). Until enabled, prices are tax-exclusive. Verify Stripe Tax is live in each jurisdiction before publication; otherwise reword §4 to "we may add Stripe Tax in future."

5. Currency, payment methods and Stripe

5.1 Currency

Subscriptions are billed in the currency presented at checkout. We support multiple currencies. The currency cannot be changed mid- Subscription; to change currency, cancel and re-subscribe.

5.2 Accepted payment methods

We accept the payment methods supported by Stripe Checkout for your country, which currently include major credit and debit cards (Visa, Mastercard, American Express, Discover where supported), and may include locally common methods (Apple Pay, Google Pay, SEPA Direct Debit, BECS Direct Debit, iDEAL, BACS, Bancontact, Cartes Bancaires) depending on your country. Available methods are surfaced automatically at checkout.

5.3 Stripe is the processor

Stripe, Inc. (and its local subsidiaries) processes all payments. We do not see your full payment-card number, CVC or full bank-account number. Stripe's terms of service and privacy notice apply in addition to ours when you use a payment method through Stripe; see https://stripe.com/legal.

5.4 Payment-method updates

If your card expires or is replaced, your bank may forward the new card to Stripe through the card-network account-updater service. If this is enabled by your bank, your Subscription will continue uninterrupted. You can replace the payment method manually at any time from Account → Billing.

6. Failed payments and dunning

If a renewal charge fails:

  • Stripe will retry the charge over a defined retry window (Stripe Smart Retries, typically up to four (4) retries over up to two (2) weeks);
  • we will email you each time a retry is attempted and ask you to update your payment method;
  • if all retries fail, we will mark your Subscription as past due and notify you;
  • if the Subscription remains past due for more than seven (7) days beyond the failure date, we may suspend your access to the Service until the balance is settled;
  • if the Subscription remains past due for more than thirty (30) days, we may cancel the Subscription. You can re-subscribe at any time after cancellation.

We do not pursue debt collection of single missed Subscription periods. We may pursue collection if the missed amount is the result of fraud or chargeback abuse.

7. Pause

If your plan supports pause (Monthly Premium, after at least one completed billing cycle), you may pause your Subscription for either thirty (30) days or ninety (90) days from Account → Subscription. While paused:

  • we do not charge you;
  • your access to streaming is suspended;
  • your saved data, watchlist and view progress are retained;
  • your Subscription resumes automatically at the end of the pause window unless you cancel.

You can pause once in any twelve (12) month period. Pause is not available on Annual Premium (the annual plan is already paid in advance for the year).

8. Upgrade and downgrade

8.1 Upgrade

You can upgrade from Monthly Premium to Annual Premium at any time from Account → Subscription. The upgrade takes effect immediately; the unused portion of your monthly cycle is credited proportionally to the annual price as a Stripe pro-rata.

8.2 Downgrade

You can downgrade from Annual to Monthly only at the end of the current annual period. Downgrade takes effect at renewal.

8.3 Save offers

When you initiate cancellation, we may offer you a discount, a pause, or a downgrade as a save offer. Acceptance is optional; declining the offer continues the cancellation. Save-offer pricing is honoured for the duration stated in the offer; thereafter the regular price applies under section 12.

9. Refunds

9.1 General rule

Subscriptions are not refundable except as set out in the Refund Policy or as required by law. Where you cancel mid-cycle, you keep access through the end of the cycle, which is the value you have paid for.

9.2 Statutory rights preserved

Nothing in this Agreement limits your rights under applicable consumer-protection law:

  • in Australia, the consumer guarantees of the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010);
  • in the EU, the cooling-off rights under the Consumer Rights Directive 2011/83/EU (subject to the digital-content exceptions in Art. 16(m) where you have begun streaming);
  • in the UK, the digital-content rights under the Consumer Rights Act 2015;
  • in the US, equivalent state-law rights (e.g., California's Automatic Renewal Law, NY's Real Property Law analogues for digital subscriptions, Vermont 9 V.S.A. §2455a).

For the cooling-off period in EU/UK, you expressly consent at checkout to the immediate provision of the streaming service and acknowledge that you lose the right of withdrawal once streaming has commenced for that billing period (Art. 16(m) CRD; UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 reg. 37(1)).

10. Cancellation

10.1 How to cancel

Go to Account → Subscription and click Cancel Subscription. You will see a confirmation screen and an emailed receipt of cancellation. Cancellation takes effect at the end of the current paid period.

10.2 What you keep

After cancellation:

  • you retain access to the Service through the end of the current paid period;
  • your watchlist, profile and view progress are retained for thirty (30) days in case you re-subscribe;
  • after thirty (30) days, your data is retained per the Privacy Policy retention schedule.

10.3 No reactivation fee

There is no fee for re-subscribing.

11. Termination by PYLON

We may terminate your Subscription on notice (or, where lawful, without notice) if:

  • you breach the Terms of Service or this Agreement materially;
  • your payment method has failed and remains unresolved (see section 6);
  • you have provided false, misleading or fraudulent information;
  • a regulator or law-enforcement authority has directed us to terminate;
  • you have been determined to be a repeat infringer under the DMCA Policy;
  • the Service is being abused, including via DRM circumvention, scraping, automated viewing, or shared-credential abuse; or
  • we cease to operate the Service in your country or globally.

If we terminate without cause (for example, because we exit your country), we will refund the unused portion of any prepaid Subscription pro-rata to the date of termination.

12. Changes to pricing or plan

12.1 Notice

We may change the price or features of a plan from time to time. Material changes will be notified to you by email at least thirty (30) days before they take effect (or such longer period as required by law). The notice will state the new price, the date it takes effect and your options.

12.2 Your options

You can:

  • accept the change by doing nothing, your Subscription continues at the new price from the next billing cycle;
  • downgrade to a cheaper plan; or
  • cancel before the change takes effect, you will retain access through the end of your current paid period.

12.3 Locked-in periods

If you are within a promotional period or a pre-paid annual cycle, the new price applies only at the end of that period.

13. Gift subscriptions

We may offer gift codes redeemable for a fixed period (typically three (3) months or twelve (12) months). Where we do:

  • the gift code grants the recipient access for the stated period upon redemption;
  • gift codes are non-refundable once issued, and non- transferable once redeemed;
  • gift codes do not auto-renew, at the end of the stated period the recipient must enter a payment method to continue;
  • gift codes are not replaceable if lost; and
  • gift codes are subject to any expiry stated at issuance and to applicable consumer-protection laws on gift cards (e.g., Australian Australian Consumer Law gift-card minimum 3-year validity; US CARD Act gift-card rules where applicable).

14. Beta program disclosures

PYLON may, from time to time, run a beta program (a closed or open preview of new features). If you opt in to the beta program:

  • pricing of beta features may change before general availability;
  • beta features may be discontinued without notice;
  • beta features are provided AS IS, without warranty;
  • bug reports and feedback are governed by section 10.3 of the Terms of Service (feedback licence to PYLON).

If your Subscription was started during a public beta and we materially increase the price at general availability, you may cancel under section 12.2 with no penalty.
